These Terms of Service ("Terms") govern your access to and use of Yoga At The Park, including our website, mobile experiences, and related services (collectively, the "Service"), operated by Yoga At The Park ("Yoga At The Park," "YAP," "we," "us," or "our"). By creating an account, booking or teaching a class, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Yoga At The Park is an online marketplace that helps independent yoga instructors and studios ("Instructors") offer in-person, outdoor yoga classes in public spaces, and helps students ("Students") discover and book those classes. YAP is a technology platform and venue for connecting Instructors and Students. We do not provide, lead, supervise, or control the classes themselves. Instructors are independent and are solely responsible for the content, conduct, safety, qualifications, licensing, insurance, and legal compliance of their classes.
2. Eligibility & Accounts
You must be at least 18 years old (or the age of majority where you live) to create an account. You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials confidential and notify us promptly of any unauthorized use.
3. Bookings, Fees & Payments
Instructors set their own class prices. Booking a paid class is a purchase processed through our third-party payment provider, Stripe. A booking fee and applicable taxes may be added at checkout. By booking, you authorize us and Stripe to charge your selected payment method. Instructors receive payouts (less applicable platform and processing fees) through Stripe Connect. You are responsible for any charges incurred under your account.
4. Cancellations & Refunds
Unless stated otherwise for a particular class, a Student who cancels more than 24 hours before a class start time may request a refund. Cancellations made within 24 hours of the start time, and no-shows, are non-refundable. Instructors may, at their discretion, grant additional refunds. We may modify these terms for specific classes or circumstances.
5. Instructor Terms
If you offer classes through the Service, you represent that you are qualified to do so and that you will: obtain and maintain all permits, licenses, and authorizations required to teach at a given location; carry appropriate liability insurance; comply with all applicable laws and the rules of the parks and authorities where you teach; and accurately describe your classes. You are an independent operator, not an employee, agent, or partner of YAP. Permit guidance provided through the Service is informational only and does not guarantee that any permit is or is not required, nor that any filing is sufficient.
6. Assumption of Risk; Release
Yoga and physical exercise involve inherent risks, including the risk of serious injury, and outdoor activities involve additional risks relating to terrain, weather, and surroundings. You voluntarily participate at your own risk. You should consult a physician before beginning any exercise program. To the fullest extent permitted by law, you release and hold harmless Yoga At The Park and its owners, officers, employees, and contractors from any and all claims, injuries, damages, or losses arising out of or related to your participation in, or an Instructor's provision of, any class or activity arranged through the Service.
7. User Conduct
You agree not to misuse the Service, including by: violating any law; infringing others' rights; posting false, harmful, or harassing content; interfering with the Service's operation or security; or using the Service to facilitate activity outside its intended purpose. We may suspend or terminate accounts that violate these Terms.
8. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any class, Instructor, or Student meets your expectations. We are not responsible for the acts or omissions of Instructors or Students.
9. Limitation of Liability
To the fullest extent permitted by law, Yoga At The Park and its owners, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to the Service or these Terms will not exceed the greater of (a) the total amount you paid to us in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Yoga At The Park and its owners, officers, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your classes (if you are an Instructor), your violation of these Terms, or your violation of any law or the rights of a third party.
11. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully — it affects your legal rights. You and Yoga At The Park agree that any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court. Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules, and may take place by phone, online, or in writing where permitted. You and YAP each waive any right to a jury trial and to participate in a class, collective, or representative action. Disputes will be arbitrated only on an individual basis. If this class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court rather than in arbitration. You may opt out of arbitration within 30 days of first accepting these Terms by emailing us at the address below.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provisions above, any permitted court proceeding will take place in California, and you consent to that jurisdiction and venue.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access at our discretion, including for violation of these Terms. Sections that by their nature should survive termination (including liability, indemnification, and dispute resolution) will survive.
